Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Evolve Orbit FZC ("we," "us," or "our") governing your access to and use of EZ OPUS (Operational Planning & Utilisation System), including our website at ezopus.com and all related services (collectively, the "Platform" or "Services").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your acceptance of these Terms will be treated as acceptance by that organization.

EZ OPUS is a web-based platform designed for airline workforce planning and management. Our Services include:

• Pilot Pipeline Management: Track and manage pilot rosters, training records, and qualifications
• Roster Optimization: Automated roster generation with FTL compliance and crew assignment optimization
• Shortage Prediction: Monte Carlo simulation-based forecasting of Captain position shortages over 10 year horizons
• Fleet Planning: Plan and manage fleet expansion and aircraft allocation
• Training Pipeline Tracking: Monitor training progress and pipeline capacity
• Alerts & Notifications: Real-time alerts for workforce shortages and critical events
• Data Integrations: Connect external data sources (Google Sheets, APIs, databases)
• Multi-Workspace Management: Organize multiple workspaces within your organization
• Customizable Dashboards: Configure widgets, metrics, and reports to suit your needs

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice to Users.

3.1 Account Creation

To use the Platform, you must create an account by providing accurate, current, and complete information. You agree to:

• Provide true, accurate, and complete registration information
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the security of your password and account credentials
• Accept all risks of unauthorized access to your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Responsibility

You are solely responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a security risk to the Platform.

4.1 Seat-Based Licensing

EZ OPUS uses a seat-based licensing model. Each seat grants one user access to one workspace. Pricing is based on the number of seats your organization purchases.

• 1 Seat = 1 User's access to 1 Workspace
• If a user needs access to multiple workspaces, they require one seat per workspace
• All users (including Super Admins) require seats for each workspace they access

4.2 Payment Terms

Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). You agree to:

• Provide current, complete, and accurate billing information
• Authorize us to charge your payment method via Stripe for all fees incurred
• Pay all fees when due, including applicable taxes
• Update payment information promptly if it changes or expires

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will charge your payment method on file for the renewal.

4.4 Refund Policy

Fees are non-refundable except as required by law or as expressly stated in these Terms. If you believe you have been incorrectly charged, contact us at support@evolveorbit.com within 30 days of the charge.

4.5 Seat Adjustments

You may purchase additional seats at any time. Additional seats will be prorated for the current billing period. Downgrades take effect at the end of the current billing period.

4.6 Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. You will retain access to the Platform until the end of the paid period. No refunds will be issued for partial billing periods.

You agree NOT to use the Platform to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, transmit, or distribute malicious software, viruses, or harmful code
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Interfere with or disrupt the integrity or performance of the Platform
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use automated systems (bots, scrapers, crawlers) to access the Platform without permission
• Engage in fraudulent activity or misrepresent your identity or affiliation
• Collect or harvest personal information about other users without consent
• Use the Platform to send unsolicited communications (spam)
• Rent, lease, sell, or resell access to the Platform without our written consent

We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.

6.1 Our Intellectual Property

The Platform, including all content, features, functionality, software, algorithms, designs, graphics, logos, and trademarks, is owned by Evolve Orbit FZC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes in accordance with these Terms. You may not:

• Copy, modify, or create derivative works of the Platform
• Remove or alter any copyright, trademark, or other proprietary notices
• Use our trademarks, logos, or branding without written permission

6.2 Feedback

If you provide feedback, suggestions, or ideas about the Platform ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that Feedback into our Services without attribution or compensation.

7.1 Your Data

You retain all ownership rights to the data, content, and information you upload, submit, or transmit to the Platform ("User Content"), including pilot records, training data, roster information, and organizational settings.

By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, reproduce, and display your User Content solely to provide the Services to you.

7.2 Data Accuracy & Compliance

You represent and warrant that:

• You have all necessary rights and permissions to upload User Content to the Platform
• Your User Content does not violate any third-party rights (privacy, publicity, intellectual property, etc.)
• You comply with all applicable data protection and privacy laws when using the Platform
• You have obtained necessary consents from individuals whose personal data you upload

7.3 Data Security & Isolation

We implement technical and organizational measures to protect your data, including encryption, row-level security, and multi-tenancy isolation. All workspace data is isolated and cannot be accessed by users from other organizations.

7.4 Data Export & Portability

You may export your data from the Platform at any time using our export features. Upon termination of your subscription, we will retain your data for a reasonable transition period (typically 30 days) before deletion, unless required by law to retain longer.

We recognize that workforce data (pilot records, training information, roster schedules) is sensitive and confidential. We agree to:

• Treat all User Content as confidential information
• Not disclose your data to third parties except as necessary to provide the Services or as required by law
• Implement appropriate security measures to protect confidential information
• Limit access to your data to authorized personnel who need it to provide the Services

You agree to keep confidential any non-public information about the Platform, including security features, algorithms, and technical implementation details.

The Platform may integrate with third-party services such as Google Sheets, external APIs, and data sources. When you enable these integrations:

• You authorize us to access and process data from those services on your behalf
• Your use of third-party services is subject to their own terms and privacy policies
• We are not responsible for the availability, accuracy, or performance of third-party services
• You are responsible for maintaining valid credentials and permissions for integrated services

Supported integrations include:

• Google Sheets: Bidirectional sync of pilot roster data
• External databases: BigQuery, PostgreSQL, MySQL
• APIs: Custom REST/GraphQL endpoints

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of the Platform or any content
• Warranties that the Platform will be uninterrupted, secure, or error-free
• Warranties that defects will be corrected or that the Platform is free from viruses or harmful components

We do not warrant that:

• The Platform will meet your specific requirements
• The results obtained from using the Platform will be accurate, complete, or reliable
• Any forecasts, predictions, or simulations will be accurate or error-free
• Any errors in the Platform will be corrected within a specific timeframe

You use the Platform at your own risk. The forecasting and prediction features use Monte Carlo simulation and statistical models that inherently involve uncertainty and assumptions. Results should be used as decision support tools, not as guarantees of future outcomes.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVOLVE ORBIT FZC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

This limitation applies to all claims, whether based on warranty, contract, tort, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Our total liability to you for all claims arising from or relating to the Platform shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

We are not liable for:

• Business decisions made based on forecasts, predictions, or other Platform outputs
• Loss of business opportunities, revenue, or competitive advantage
• Data loss or corruption (you are responsible for maintaining backups)
• Unauthorized access to your account due to your failure to maintain security
• Downtime, interruptions, or performance issues
• Actions or omissions of third-party service providers
• Your violation of these Terms or applicable laws

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Evolve Orbit FZC, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or relating to:

• Your use of the Platform or violation of these Terms
• Your User Content or any claim that your User Content violates third-party rights
• Your violation of any applicable laws or regulations
• Your negligence or willful misconduct
• Any third-party claims arising from your use of the Platform

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

13.1 Termination by You

You may terminate your account and subscription at any time by canceling through the Platform or contacting us at support@evolveorbit.com. Termination takes effect at the end of the current billing period.

13.2 Termination by Us

We may suspend or terminate your access to the Platform immediately, without notice, if:

• You violate these Terms or our Acceptable Use Policy
• Your payment method fails or your account is past due
• We reasonably believe your account poses a security risk
• You engage in fraudulent or illegal activity
• We are required to do so by law
• We decide to discontinue the Platform (with reasonable notice)

13.3 Effects of Termination

Upon termination:

• Your right to access and use the Platform immediately ceases
• We will retain your data for a transition period (typically 30 days), after which it may be deleted
• You remain responsible for all fees incurred prior to termination
• Sections of these Terms that by their nature should survive (e.g., intellectual property, disclaimers, indemnification) will continue to apply

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.

Any disputes arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
